Kafeely Mutual Non-Disclosure Agreement (NDA) 

MUTUAL NON-DISCLOSURE AGREEMENT

This Mutual Non-Disclosure Agreement (“Agreement”) is made and entered into as of [Date] by and between:

• Kafeely, a company organized and existing under the laws of the United Arab Emirates, with its principal place of business at [Your Address] (“Disclosing Party” and “Receiving Party”),

• [Reinsurance Company Name], a company organized and existing under the laws of [Jurisdiction], with its principal place of business at [Company Address] (“Disclosing Party” and “Receiving Party”).
  
  

WHEREAS, the parties wish to explore a potential business relationship relating to a Tenant Payment Guarantee Insurance product (the “Purpose”), and in connection therewith, each party may disclose certain confidential information to the other.

NOW, THEREFORE, the parties agree as follows:

1. Definition of Confidential Information

“Confidential Information” means any non-public information disclosed by one party to the other, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential.

2. Obligations of the Receiving Party

Each party agrees to:
(a) Keep the Confidential Information confidential and not disclose it to any third party without prior written consent.
(b) Use the Confidential Information only for the Purpose described above.
(c) Take reasonable measures to protect the confidentiality of the Confidential Information.

3. Exceptions

Confidential Information does not include information that:
(a) Is or becomes publicly known without breach of this Agreement;
(b) Is lawfully received from a third party without restriction;
(c) Is independently developed by the Receiving Party without use of the Disclosing Party’s Confidential Information.

4. Term

This Agreement shall remain in effect for [2 years] from the date of signature, unless terminated earlier in writing by either party.

5. No License or Obligation

Nothing in this Agreement shall obligate either party to proceed with any business relationship or grant any rights under any patents, copyrights, or trademarks.

6. Governing Law

This Agreement shall be governed by the laws of the [Dubai International Financial Centre (DIFC) Courts] (or you can agree to English law if they prefer).

7. Entire Agreement

This Agreement constitutes the entire understanding between the parties regarding the subject matter and supersedes all prior agreements, whether written or oral.
